Terms of Service

These Terms of Service ("Terms") govern your access to and use of RotaChief ("RotaChief," "we," "us," or "our") and the services available through rotachief.com (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What RotaChief is

RotaChief is a staff scheduling software application that allows businesses to build, publish, and manage staff rosters, notify staff of their schedules, and access reporting and an AI assistant related to their own staff/roster data.

RotaChief is a scheduling tool. It does not provide legal, tax, HR, or employment-law advice, and using RotaChief does not guarantee compliance with any labor law, wage law, or scheduling regulation applicable to your business or jurisdiction. You are responsible for ensuring your scheduling practices comply with applicable law.

2. Accounts

You must provide accurate information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You are responsible for ensuring that only authorized users access your account.
You must be legally authorized to act on behalf of the business you register.
You are responsible for the accuracy of any staff data you enter, and for having any necessary consent or legal basis to enter that data on behalf of your staff.

3. Subscription plans and billing

RotaChief offers Free, Pro, and Advance subscription tiers, as described on our Pricing page.
Paid subscriptions are billed in advance on a recurring (monthly, unless otherwise stated) basis.
Billing and payment processing is handled by a third-party payment processor, who acts as the merchant of record for all purchases. Your purchase is subject to that processor's buyer terms in addition to these Terms.
We may change our pricing. If we do, we will give existing subscribers reasonable advance notice before the change takes effect for their account.

4. Free trial

New customers may receive a 7-day free trial of eligible paid features without providing payment details.

At the end of the trial, your account will automatically move to the Free plan unless you choose to upgrade. Upgrading to a paid subscription is entirely optional.

5. Acceptable use

You agree not to:

Use the Service for any unlawful purpose, or in a way that violates the rights of others
Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems
Interfere with or disrupt the integrity or performance of the Service
Use the Service to store or transmit data you do not have the right to store or transmit
Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law
Resell or sublicense the Service without our prior written consent
Use the Service to distribute malware, viruses, or other harmful software
Use automated tools to access the Service in a way that places an unreasonable load on our systems

We may suspend or terminate accounts that violate these Terms.

6. Your data and content

You retain ownership of the data you enter into RotaChief (business information, staff information, roster data). We do not claim ownership of your business or staff data.
You grant us a limited license to use, store, and process that data solely to provide and improve the Service, as described in our Privacy Policy.
You are responsible for the legality, accuracy, and appropriateness of any data you enter, including staff personal information.

7. Intellectual property

The Service, including its software, design, branding, logos, documentation, and content, is owned by RotaChief or its licensors and is protected by applicable intellectual property laws.

These Terms do not grant you ownership of the Service or any intellectual property rights other than the limited right to use the Service in accordance with these Terms.

8. AI assistant

RotaChief includes an AI assistant and AI-generated summaries powered by third-party AI models. These features are provided for convenience and informational purposes only. AI-generated responses are intended to help interpret information already stored in your account and may occasionally be inaccurate or incomplete, and should not be relied upon as the sole basis for business, employment, financial, or legal decisions. You are responsible for verifying important information independently.

9. Service availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or changes to the Service at any time. We are not responsible for losses arising solely from temporary interruptions, maintenance, or circumstances beyond our reasonable control.

10. Termination

You may cancel your account at any time. Upon cancellation of a paid plan, you will retain access until the end of your current billing period, per our Refund Policy.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law.
Upon termination, your right to access the Service ends, and we may delete your data in accordance with our Privacy Policy's data retention terms.
Certain provisions of these Terms, including those relating to liability, indemnification, intellectual property, and governing law, survive termination.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

RotaChief does not calculate or guarantee compliance with tax, pension, wage, or labor law obligations. Any pay estimates shown in the Service are estimates only and are not a substitute for professional payroll or accounting advice.

12. Limitation of liability

To the maximum extent permitted by law, RotaChief and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Service, even if advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless RotaChief and its operator from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party (including your staff members).

14. Force majeure

RotaChief will not be responsible for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, internet outages, acts of government, war, labour disputes, or failures of third-party infrastructure providers.

15. Changes to the Service or these Terms

We may update these Terms from time to time. If changes are material, we will provide notice via email or an in-app notice before they take effect. The updated Terms will apply from the effective date stated at the top of this page.

We may also add, remove, or modify features of the Service at our discretion.

16. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless otherwise required by mandatory local consumer protection law applicable to you in your jurisdiction.
